Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of SongMemento (the "Service"), which lets you create AI-generated personalized songs, lyrics, and cover artwork. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 16 years old (or the age of digital consent in your country) to use the Service. If you are under 18, you may only use the Service with the involvement of a parent or legal guardian.

The Service and AI-Generated Content

Songs, lyrics, vocals, melodies, and cover artwork produced by the Service are generated by automated artificial-intelligence systems, including third-party models. Because of how generative AI works:

Output is provided "as is" and "as available", with no guarantee of quality, accuracy, originality, uniqueness, or fitness for any particular purpose.
Generated content may occasionally resemble other works, and we do not warrant that it is free of similarity to existing material.
The Service is for personal, creative, and entertainment use. It is not professional, legal, medical, financial, or other advice.

We may change, suspend, or discontinue any part of the Service at any time without liability.

Payments, Refunds, and Digital Goods

A free preview is available before purchase. The full song and related paid features are digital goods delivered immediately once generated.
Because the full song is generated on demand and delivered instantly, all sales are final and non-refundable once the full song has been generated, except where a refund is required by applicable law.
Prices, plans, and features may change at any time. Applicable taxes may be added. Subscriptions (where offered) renew until cancelled; you can cancel at any time and retain access until the end of the paid period.
Payments are processed by our third-party payment provider. We do not store your full card details.

You are solely responsible for the information you submit — including names, memories, stories, messages, and any photos you upload ("Your Inputs"). By submitting Your Inputs, you represent and warrant that:

You own or have all necessary rights and permissions to submit them; and
You have obtained any required consent from every other person referenced or depicted (for example, the recipient of the song), including consent to include their name, likeness, photo, and personal details.

You are responsible for how you use, send, or publish the songs and covers you create. You agree to indemnify and hold us harmless from any claim arising out of Your Inputs or your use of the Service, including claims by third parties whose name, likeness, or information you submitted without authorization.

License to Your Song

Subject to your compliance with these Terms and payment of applicable fees, we grant you a personal, worldwide, non-exclusive license to use the song and cover you generate for personal and gifting purposes. You may not resell, sublicense, or commercially redistribute generated content without our prior written permission. We and our providers retain all rights in the Service, the underlying models, and our brand.

To operate and improve the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, and store Your Inputs and generated output as needed to provide the Service to you.

Songs you choose to share are given an unlisted link and are marked to discourage search-engine indexing, but anyone who has the link can view and play the song. Do not share a link to a song you intend to keep private. We are not responsible for content you distribute.

Acceptable Use

You agree not to use the Service to create, upload, or distribute content that:

Violates any law or the rights of others (including privacy, publicity, or intellectual-property rights);
Is hateful, harassing, defamatory, sexually explicit involving minors, threatening, or non-consensual;
Impersonates any person or misrepresents your affiliation; or
Involves uploading a photo of, or personal details about, another person without their consent.

You also agree not to attempt to gain unauthorized access to our systems, interfere with the Service, scrape or bulk-extract content, or resell access to the Service. We may remove content and suspend or terminate accounts that violate these Terms.

Third-Party Services

The Service relies on third parties for AI generation, payment processing, hosting, and analytics. Their availability and performance are outside our control, and their own terms and privacy policies apply to their processing.

Disclaimers

To the maximum extent permitted by law, the Service and all generated content are provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding originality or uninterrupted availability.

Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, goodwill, or profits, arising from or related to your use of the Service. Our total aggregate liability for any claim will not exceed the greater of the amount you paid us for the Service in the twelve (12) months before the claim, or USD $50.

Indemnification

You agree to indemnify, defend, and hold harmless SongMemento and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Inputs, your use of the Service, or your violation of these Terms or the rights of any third party.

Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including a breach of these Terms. Sections that by their nature should survive termination (including licenses you granted, disclaimers, limitation of liability, and indemnification) will survive.
